1. Agreement to these terms
These Terms of Service (“Terms”) govern access to and use of the Suprlativeplatform, websites, APIs, and related services (the “Service”) operated by Suprslay Technologies Private Limited (“Suprlative”, “we”, “us”). By accessing or using the Service, or by connecting a messaging channel such as Instagram or WhatsApp, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Suprlativeprovides an AI shopping-assistant platform that brands embed on their storefronts and connect to messaging channels including web chat, WhatsApp, and Instagram. The Service generates automated responses to shopper messages, surfaces product information, and can route conversations to a human agent. The Service is provided to businesses (“Brands”) and interacts with those Brands' customers (“Shoppers”).
3. Accounts and eligibility
You must be at least the age of majority in your jurisdiction and have authority to bind the business you represent. You are responsible for the accuracy of your account information, for maintaining the security of your credentials, and for all activity under your account. You must have the necessary rights and authorizations to connect any Instagram, WhatsApp, or other account you link to the Service.
4. Roles: Brand as controller
For data processed through connected channels, the Brand is the controller of its Shoppers' data and Suprlativeacts as a processor on the Brand's behalf, processing data only to provide the Service. Each Brand is responsible for its own compliance with applicable laws, for the content of its catalog and configuration, and for providing required notices to its Shoppers. Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms.
5. Acceptable use
You agree not to use the Service to:
- violate any law or the rights of others, including intellectual property and privacy rights;
- send spam, unsolicited bulk messages, or content that is unlawful, deceptive, harassing, hateful, or harmful;
- attempt to gain unauthorized access to, disrupt, reverse engineer, or overload the Service or its infrastructure;
- misrepresent the automated nature of responses where disclosure is required; or
- use the Service in a way that violates the terms or policies of any connected platform.
You are responsible for the messages sent through your connected channels and for ensuring your use complies with applicable messaging and consumer-protection laws.
6. Third-party platforms and services
The Service integrates with third-party platforms, including Meta's Instagram and WhatsApp APIs, commerce platforms such as Shopify, and AI model providers. Your use of those integrations is also subject to the respective third party's terms and policies, including the Meta Platform Terms and Developer Policies. We are not responsible for third-party platforms, and their availability or changes may affect the Service. You are responsible for maintaining any accounts and approvals required on those platforms.
7. AI-generated content
Assistant responses are generated by automated systems and may be inaccurate, incomplete, or not suitable for every situation. Responses do not constitute professional advice. Brands are responsible for reviewing their configuration and for any reliance placed on assistant output, and should provide human oversight where appropriate.
8. Intellectual property
The Service, including its software, design, and content (excluding Brand and Shopper data), is owned by Suprlative and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. Brands retain ownership of their own content and data.
9. Fees
Where the Service is offered on a paid basis, applicable fees, billing terms, and any plan-specific conditions will be set out in a separate order or agreement. Unless otherwise stated, fees are exclusive of taxes.
10. Termination
You may stop using the Service and disconnect any linked channel at any time. We may suspend or terminate access if you breach these Terms, if required to protect the Service or comply with law, or upon discontinuation of the Service. Upon termination, the rights granted to you cease; provisions that by their nature should survive will survive.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, to the maximum extent permitted by law.
12. Limitation of liability
To the maximum extent permitted by law, Suprlative and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our aggregate liability for any claim relating to the Service will not exceed the amounts paid by you to Suprlative for the Service in the twelve months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Suprlativeand its affiliates from claims, liabilities, damages, and expenses arising out of your use of the Service, your content, or your breach of these Terms or of any third-party platform's terms.
14. Changes to the Service and Terms
We may modify the Service or these Terms from time to time. Material changes to these Terms will be indicated by updating the date above and, where appropriate, through additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-laws rules, and the courts located in Bangalore, India will have exclusive jurisdiction, except where mandatory local law provides otherwise.
